Terms of Service

1. The service

Vyavastha is a subscription business suite made up of products — Sales & BDE, Project Management, Finance & Invoicing and HR & Payroll — that an organization can subscribe to according to its plan. Features and plans may change over time; we will not remove a paid product from your current plan during a paid period without notice.

2. Organizations, accounts and roles

• A new organization is created by applying through our registration page. We may review and approve or decline an application.
• The person who owns the organization is its Organization Super Admin. They manage billing, invite and remove members and decide roles and permissions.
• Team members join only by invitation sent to their own email address. Each person has their own account and must not share credentials.
• You are responsible for the accuracy of the information you provide, for keeping your password and devices secure, and for activity under your account. Tell us promptly if you suspect unauthorized access.
• Organization administrators are responsible for giving members appropriate access and for removing people who should no longer have it.

3. Subscriptions, fees and payment

• Plans are billed monthly in Indian rupees at the price shown on the Billing page when you subscribe. Amounts are processed by Razorpay.
• Subscriptions renew automatically (AutoPay) until cancelled. You authorize us and Razorpay to charge your selected payment method each billing period.
• You can upgrade, schedule a downgrade, pause, resume, cancel or change the payment method at any time from Billing (Organization Super Admin only). Cancelling or pausing stops future charges; your plan stays available until the end of the period you have already paid for.
• Upgrades take effect once payment is confirmed. Downgrades take effect at the end of the current billing period.
• Fees already paid are non-refundable except where the law requires or we state otherwise in writing. If a payment fails we may retry it and may restrict access if it remains unpaid.
• Prices may change; we will give notice before a change applies to your next billing period.

4. Your data

You and your organization own the business data you put into Vyavastha ("Customer Data"). You give us the right to host and process Customer Data only to provide and support the service and as described in our Privacy Policy. You are responsible for having the rights and permissions needed to enter Customer Data — including the personal information of your leads, clients and employees — and for using Vyavastha in line with the laws that apply to you, such as privacy, marketing and employment laws.

You can export your data and ask us to delete it as described in the Privacy Policy.

5. Google and other third-party services

You may connect your own Google account for Gmail and Google Calendar. Your use of Google services is governed by Google's terms, and our handling of Google user data is described in the Privacy Policy, including its Limited Use commitments. You are responsible for the emails you send from Vyavastha and must comply with applicable email and anti-spam laws. You can disconnect Google at any time.

6. Acceptable use

You agree not to:

• break the law or infringe others' rights, or send unsolicited bulk email, phishing, or deceptive or harmful content;
• try to access another organization's data, bypass permissions or subscription limits, or probe or attack the service;
• upload malware or content you have no right to upload;
• resell or provide the service to third parties except as your plan allows, or use it to build a competing product;
• overload or interfere with the service, or use automated means to scrape it.

7. Our intellectual property

Nugro Tech owns Vyavastha, including its software, design and branding. We give you a limited, non-exclusive, non-transferable right to use it during your subscription for your internal business purposes. Feedback you give us may be used to improve the service without obligation to you.

8. Availability and support

We work to keep Vyavastha available and secure but do not guarantee uninterrupted or error-free service. We may perform maintenance or make changes, and will try to give notice of significant ones. Support is available at info@nugrotech.com.

9. Suspension and termination

• You may stop using Vyavastha and cancel your subscription at any time.
• We may suspend or end access if you breach these Terms, if a payment remains unpaid, if needed to protect the service or other users, or if the law requires. Where reasonable we will tell you first.
• After termination you can ask us for your data as described in the Privacy Policy; we then delete it as set out there. Sections that by nature continue (such as ownership, disclaimers and liability) survive termination.

10. Disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement. Vyavastha is a business tool; it does not provide legal, tax, accounting or payroll advice, and you remain responsible for the accuracy and legal compliance of your invoices, payroll and records.

11. Limitation of liability

To the fullest extent permitted by law, Nugro Tech will not be liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the service is limited to the fees you paid us for the service in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnity

You will defend and indemnify Nugro Tech against claims arising from Customer Data you upload or from your misuse of the service or breach of these Terms, to the extent permitted by law.

13. Changes to these Terms

We may update these Terms. We will post the updated version here with a new "last updated" date and notify account owners of material changes. Continuing to use Vyavastha after the effective date means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of India. The courts of competent jurisdiction in India will have jurisdiction over disputes, unless mandatory law provides otherwise.
